License Agreement for Users of RABBIT EARS AUDIO, L.L.C. Sound FX Libraries

This license covers use by a single user. If you require access for 2 or more users, please inquire about a multiple user license

The following terms and conditions constitute a legally binding Agreement (“agreement”) between you (the recipient, as “you” or “licensee”) and RABBIT EARS AUDIO, L.L.C. (“Licensor”). By purchasing a Library you acknowledge that you have read the terms of this Agreement, understand it and agree to be bound by its terms.

These license terms apply to any downloads of Libraries purchased from this Site by you.

1. Grant of License

In consideration for receiving the Libraries from the Site, Licensor grants you (“Licensee”) a non-exclusive royalty free license to use the sounds (“Sounds”) in the Libraries that you download from the Site anywhere in the world for the life of copyright on the terms set out in this license agreement.

2. Rights Granted

The license granted in this agreement allows you to:

1. Use the Recordings (as part of your product/production) for your lifetime, within different or various works or projects as you see fit.

2. Synchronise the Sounds with moving images in respect of any film, television, internet or other media production you are contracted to provide services to or otherwise involved in (“Project(s)”).

3. Reproduce the Sounds for the purpose of those Projects.

4. Publicly perform the Sounds in respect of those Projects.

3. Restrictions on Uses

The license granted in this agreement is personal to you and limited to the Project and as such does not permit you to:

1. Make copies of any of the unsynchronized recordings contained within our royalty free products, except as may be designated to a single stand alone workstation for the sole purpose of specific audio and / or visual synchronization at your own facility.

2. License or sell any Library in its entirety or to adapt, modify, or repackage any Library.

3. Sell the Recordings contained herein outright to any other individual or party. (Although the Recordings can be sold as part of your product/production.)

4..Re-record or change the Recordings in any way not authorized under this End User License Agreement without the written consent of Licensor.

5. Claim ownership or authorship of the Recordings represented under this Agreement.

6. Transfer, share or sub-lease this license agreement with any other party.

4. Copyright

Copyright in the Sounds and Libraries is owned by Licensor and other than the license rights granted in this agreement all rights in the Sounds and Libraries remain the property of Licensor.

5. Assignment

You must not assign the Sounds to any other party except as necessary for the use of the Sounds in a Project.

6. Termination

The license granted under this agreement, and your right to use the Library will automatically terminate in the event of any breach by you of the terms of this agreement and you will by required to destroy all copies of the Libraries you have produced.

7. Indemnity

You will indemnify Licensor from, and against any and all claims, demands, suits, damages, liabilities and all reasonable expenses, including attorneys fees incurred by Licensor with respect to any matter that arises as a result of any defects in the Licensed Products, any claim that Licensed Products infringe or violate any rights of any third party or any breach of this agreement by you.

8. Liability

Licensor accepts no responsibility for any loss of business or business profits resulting directly or indirectly from the performance of any of Licensor’s product. Licensor’s liability is limited and restricted solely to replacement at no charge of the Licensor’s product in question.

9. Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of New York, excluding that body of law relating to choice of law. The Licensee agrees that any dispute arising out of this agreement or the Library shall be resolved solely by the federal and state Courts in the State of New York. The recipient hereby consents to the personal jurisdiction of the federal and state Courts in the State of New York.
